1.PAYMENTS

2.DUE DATE
All payments are due within 7 days of the Invoice/Statement Date.
Artworkservicesusa.com allows for an additional three day grace period before late fees are charged. So, in total, clients will have 10 days from the invoice/statement date before late fees are applied.
3. LATE FEES
Late fee charges will apply to all overdue invoices.
To ensure prompt payment, Artworkservicesusa.com reserves the right to charge 18% annually (1.5% monthly) on the balance of all overdue payments.
4. PAGE DESIGN/LAYOUT
Standard Design
The layouts and designs as applied to the Trial Site that you approve, or as separately mailed for your approval, will be carried to the final site to be delivered unless you request otherwise. The pricing unless otherwise stated, is inclusive of the cost of this design.
Custom Design
Artworkservicesusa.com offers a Website Design which is customized as per your requirements. There may be an additional charge for the creation of custom designs. An estimate of the likely charges will be provided for your approval prior to work commencing.
We will provide two design options each consisting of a home page and a detailed page, for your approval. If both of these are not acceptable, a 3rd design will be provided after a discussion that would require you to point to specifics that you did not like in the previous designs or specifics of what you would prefer in the final design that were not included in the previous designs.
Artworkservicesusa.com will expect specific suggestions on color schemes, font styles, images, buttons, background patterns, page layout of elements, etc when creating a feasible layout suitable for your needs online.
5. SITE FUNCTIONALITY
The trial website developed for you is a fully functional website that gives you a complete preview of the functionality of the final site that we will deliver. The content of the trial site consist of some of your products.
If you have any specific requirements apart from the functionality already incorporated in the trial website, we will require those requirements to be communicated along with the approval of this proposal. Additional charges may be applicable for such requirements. These will be quoted for your approval prior to work commencing.
On average, such customization takes an additional 3-6 weeks to complete.
However, Artworkservicesusa.com cannot guarantee that your site will be completed within any specified time. We will work with you to get your site online as quickly as possible in order to meet any specified timeframes you may have.
Additional "Rush" fees may be required in certain circumstances.
6. CONTENT FOR WEBSITE
All content required for the site including text, product data and text, product price, product images, additional costs, taxes as applicable will be provided by the you.
The price includes the cost of incorporating the content for 250 products, or the number of products specified in the proposal. We can provide a content management service at additional costs.

An additional fee may be charged for data entry, if content is not in any of the acceptable formats or if the conversion of content for web requires extra effort. You will be advised about the costs once the content has been inspected and evaluated. We are also able to work with popular graphic format files like Adobe Photoshop, InDesign, Quark Express. Please check with us if you have a different file format.
Catalog files
We require PDF files of the catalog with an image resolution of at least 300 dpi.
7. YOUR PARTICIPATION IN PROVIDING INPUTS, FEEDBACK, CONFIRMATION
Artworkservicesusa.com will endeavor to provide you with a preview of the website as it progresses. The preview gives you a clear idea of the website being developed and you can confirm required corrections at this stage.
You will be advised on the date by which such a preview will be provided and we will await your feedback on any corrections required within 7 working days of such a preview. The site will be deemed approved in case we do not receive any formal feedback in this time.
Delays in providing feedback, inputs, confirmation may lead to delay in the delivery date.
Any corrections specified by client to data, design or functionality after the confirmation will be treated as a change to the specification agreed and will be subject to additional costs. Such costs will be notified to the client prior to work re-commencing.
Such rework after final delivery often involves more work than the work originally estimated for the development of the site, leading to a significant delay in the launch date.
8. DELAY IN PROVIDING INPUTS, FEEDBACK, CONFIRMATION, APPROVALS
Website development is a collaborative effort between our two organizations, for the timely completion of the website; we require prompt responses during each stage of website development by way of confirmations, approvals, additional inputs and feedback. The time frames for these responses will be communicated during the website making process.
Any significant delay in this response time will render the agreed payment terms as void and the entire website making charges becomes due and payable immediately even if the website is not complete at that stage.
9. HOSTING
Artworkservicesusa.com provides web hosting for fees specified in the proposal, as per configuration recommended for you.
This includes 15 free email accounts. Additional email boxes are available at a nominal charge.
We do not work with third party hosting arrangements.
10. SOFTWARE LICENSE.
Artworkservicesusa.com grants Merchants a non-exclusive, non-transferable license to use the Software in "object code" form only on a server controlled by Artworkservicesusa.com for the sole purpose of creating and maintaining Stores on such server.
Merchants are not being granted any right to copy the Software or to use it on computers other than a server controlled by Artworkservicesusa.com
11. LIABILITY CLAUSE
Powerweave.com will not be held responsible for any copyright infringement (music, videos, photos, graphics, clip-art) provided by the client. By signing this document, the client acknowledges responsibility to verify that all copyrighted material has the appropriate licenses to be shown over a "global computer network".

13. RESERVATIONS
Artworkservicesusa.com reserves the right to make amendments or changes to our corporate policies. Clients will be notified of these changes and their effects.
Artworkservicesusa.com also reserves the right to use your website image for promotional use.
14. DISCLAIMER OF WARRANTIES AND LIABILITIES
The software and service are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties and conditions of merchantability, fitness for a particular purpose and non-infringement. Neither this agreement or any documentation furnished under it is intended to express or imply any warranty, condition or representation that the online services will be uninterrupted, timely or error-free or that the software will provide uninterrupted, timely or error free service. The security mechanism incorporated in the software has inherent limitations and merchant must determine that the software adequately meets its requirements. Merchant acknowledges and agrees that any material and/or data downloaded or otherwise obtained through the use of the service is done at its own discretion and risk and that merchant will be solely responsible for any damages to its computer system or loss of data that results from the download of such material and/or data. Artworservicesusa.com and its subsidiaries, affiliates, officers, directors, shareholders, employees and agents, shall not be liable, under any circumstances or legal theories whatsoever, for any loss of business, profits or goodwill, loss of use or data, interruption of business, or for any indirect, special, incidental or consequential damages of any character, even if artworservicesusa.com is aware of the risk of such damages, that result in any way from merchant's use or inability to use the online services or the software, or that result from errors, defects, omissions, delays in operation or transmission, or any other failure of performance of the online services or the software.
